AIFC EVENT TERMS & CONDITIONS (Effective 30 June 2025)
Effective as of June 30, 2025, these “AIFC Event Terms & Conditions” (“Terms & Conditions”) establish the legal framework governing participation, registration, and engagement in events organized by AI Founders Connect, Inc. (“AIFC”), a New York–registered 501(c)(3) nonprofit dedicated to advancing the global AI ecosystem through founder, investor, and industry leader connectivity. WHEREAS, AIFC serves as a mission-driven platform facilitating high-impact, invite-only events and strategic partnerships in the field of artificial intelligence, held in major innovation capitals and involving curated participant interaction, networking, and educational sessions; WHEREAS, participation in such Events (in-person or virtual) is available upon completion of registration via Eventbrite or other authorized platforms and is governed by these Terms & Conditions as in effect on the date of registration or attendance (the “Effective Date”); WHEREAS, Stacy Williams (“the Client”) acts for and on behalf of AIFC in preparing these Terms & Conditions, which address the rights, responsibilities, and limitations of attendees, participants, sponsors, speakers, investors, and all other involved parties; WHEREAS, all operations, registrations, media, data collection, privacy, introducer fee arrangements, and dispute resolution procedures are designed and administered to comply with relevant laws and regulations, including but not limited to the laws of England and Wales, U.S. federal and state legislation, the UK Data Protection Act 2018, UK/EU GDPR (EU 2016/679), the U.S. Securities Act 1933/1934, Australian and Singaporean consumer and data protection statutes, and applicable financial, privacy, and consumer frameworks for cross-border activities; WHEREAS, Westminster & Partners (Company No. 14813167) and Westminster, Bharuya & Partners may act as legal or administrative representatives for fundraising facilitation, introducer fee management, and regulatory compliance, subject to relevant AML/KYC requirements; WHEREAS, the purpose of these Terms & Conditions is to set forth comprehensive provisions covering ticketing, refunds, event participation, privacy practices, media rights, liability, introducer’s fee obligations, regulatory disclaimers, dispute resolution (including binding and final arbitration procedures in English), and protections regarding branding and venue relationships; WHEREAS, the duration of these Terms & Conditions is from the “Effective Date” and continues until such time as the document is amended, superseded, or terminated in accordance with its provisions; NOW, THEREFORE, by registering or attending any Event, each participant expressly acknowledges and agrees to comply with and be bound by these Terms & Conditions for the duration specified herein.
1. Effective Date And Definitions
Effective as of 30 June 2025, these Terms & Conditions commence on the date of registration or attendance at any Event organized by AI Founders Connect, Inc. For the purposes of interpretative clarity, the following definitions apply throughout this document:
a. Organizer: AI Founders Connect, Inc. (AIFC), a U.S.-registered 501(c)(3) nonprofit.
b. Event: Any event organized by AIFC, including both in-person and virtual formats.
c. Participant: Anyone attending, registering for, sponsoring, speaking at, founding, investing in, partnering with, or affiliating with the Event.
d. Introducer’s Fee: A 5% fee payable to Westminster & Partners for funds raised via AIFC introductions.
e. Media: All photos, videos, and recordings produced at the Event.
f. Personal Data: Any information related to an identified or identifiable individual, as per relevant data protection laws.
g. Effective Date: The date on which these Terms & Conditions become applicable, specifically 30 June 2025.
h. Venue: The physical or virtual location where the Event is held.
i. AML/KYC: Anti-Money Laundering and Know Your Customer procedures required for regulatory compliance.
j. Supervisory Authorities: Regulatory bodies overseeing compliance with relevant laws and regulations.
k. Third Party: Any entity or individual other than the Organizer or Participant involved in the Event.
2. Introduction & Acceptance Of Terms
Participation in AIFC Events, whether through ticket purchase, registration, or attendance, indicates the Participant’s full and unconditional acceptance of these Terms & Conditions as of the Effective Date. By engaging in these Events, operated worldwide by AI Founders Connect, Inc. (Organizer), a Participant enters into a legally binding contract governed by English law and subjected to the exclusive jurisdiction of courts in London, England. Participation is entirely voluntary and undertaken at the Participant’s own risk. These Terms & Conditions take precedence over any other documentation or communication from the Organizer. For clarity on specific terminology used herein, including definitions of ‘Participant’ and ‘Organizer,’ refer to Clause 1: Effective Date and Definitions.
3. Event Registration & Ticketing
Event registration and ticketing for all events organized by AIFC must be completed through Eventbrite. Promotional links for registration will be available on the AIFC website, LinkedIn, and email communications. When registering, Participants are required to provide complete and accurate information, including any required documentation and consents. All ticket purchases are final and non-refundable, except as mandated by applicable consumer-protection law or by Eventbrite policy. If an Event is fully canceled and not rescheduled or moved online, refunds will be provided as per Eventbrite’s terms. In the case of an Event postponement or move to an online format, tickets will remain valid for the new date and no refunds will be issued. Participants must review and comply with all Eventbrite terms of service. The Organizer is not liable for any technical issues, transactional problems, or duplicate payments; such matters must be resolved directly with Eventbrite or the payment provider. Purchase of a ticket grants entry to the Event and access to sessions, networking, and pitching opportunities at the Organizer’s discretion. It does not guarantee pitching slots, media coverage, investor introductions, or specific event outcomes. Non-refundable terms are based on the need to cover operational costs and Event commitments. Therefore, except as required by consumer-protection law or Eventbrite policy, no refunds will be granted once registration is complete. Identical language regarding refunds and ticket policies will be reflected on Eventbrite and the AIFC website. 4. Event Participation: Rights And Obligations
Participation in Events organized by the Organizer is entirely voluntary and at the Participant’s own risk. By choosing to attend, Participants are entitled to certain privileges, including entry to the Event, networking opportunities, and the chance to present pitches, subject to availability. There is no guarantee of any specific outcomes, such as investor attendance, financial investment, or introductions to potential business partners. Any marketing materials or programs are intended for illustrative purposes only and do not form a binding commitment.
Participants are expected to conduct themselves in a professional and respectful manner throughout the Event. Adherence to the Organizer’s anti-harassment policy is mandatory, ensuring a safe and inclusive environment for all attendees. Should any issues arise, Participants must follow the established procedure for complaints and disputes as outlined in Clause 7: Complaints & Dispute Submission.
Attendance by individuals under the age of 16 is strictly prohibited. Participants are advised to refer to Clause 13: Miscellaneous & Final Provisions for further details.
Participants acknowledge that no refunds or compensation will be provided for any dissatisfaction with Event content or outcomes, as clarified in Clause 2: Event Registration & Ticketing.
5. Investor, Vc, Speaker & Sponsor Listings
a. Listings for investors, VCs, speakers, and sponsors at AIFC events shall be designated under the categories of ‘anticipated,’ ‘invited,’ or ‘confirmed.’ It is expressly acknowledged by all Participants that no guarantee is made regarding the attendance accuracy or presence of any listed individual or entity.
b. Information included in these listings is based on basic submissions made by Participants and does not undergo a thorough vetting or background check process. The Organizer acts solely as a distributor of this information and does not verify the authenticity or accuracy of the details provided.
c. All information published in these listings is done so with the express or implied consent of the respective Participant. This information remains subject to change without prior notice at the discretion of the Organizer.
d. While the Organizer endeavours to ensure that the quality and accuracy of the published information are maintained, it accepts no responsibility for any errors, omissions, or affiliation changes pertaining to listed individuals or entities.
e. The Organizer bears no liability for any cancellations by listed individuals or entities. Should an intended Participant cancel, the Organizer may, at its sole discretion, offer an alternative or comparable experience; however, this is not a requirement or obligation.
f. The inclusion of any individual or entity in the listings does not constitute an endorsement, partnership, or commitment by AIFC to provide any funding or facilitate any collaboration, and Participants should not infer such implications from the listings.
g. Any promotional activities conducted by listed individuals or entities are subject to the disclaimers mentioned in Clause 6: Limitation of Liability & Disclaimers.
h. Complaints or disputes regarding the accuracy or appropriateness of listings shall be addressed in accordance with Clause 7: Complaints & Dispute Submission.
6. Limitation Of Liability & Disclaimers
The Organizer (AIFC, Westminster & Partners) shall not be liable for any direct, indirect, incidental, special, or consequential damages, including but not limited to lost profits, business interruption, loss of programs or information, and the like, arising out of or in any way connected with attendance at or participation in the Events, investment discussions, or reliance on information provided at the Events, regardless of the form of action, whether in contract, tort, negligence, or otherwise. The overall aggregate liability of the Organizer for any claims arising out of or in connection with these Terms & Conditions shall not exceed the total amount paid by the Participant for their Event ticket(s).
The Organizer does not guarantee or warrant that any investor attendance, successful business outcomes, introductions, or the accuracy of any representations made during the Events. All outcomes are based purely on voluntary participation, and Participants are responsible for conducting their own due diligence and making informed decisions. The Organizer does not negotiate, conduct due diligence, or complete any transactions on behalf of Participants.
Participation in Events is entirely at the Participant’s own risk. Any marketing or information listings related to the Events are for informational purposes only and do not constitute a guarantee of performance or outcomes. The Organizer’s role is that of a nonprofit facilitator and shall not act as a broker, agent, or investment advisor. Refer to Clause 11: Regulatory & Licensing Disclaimer for additional details.
No refunds or compensation shall be provided for any dissatisfaction or perceived unsuccessful outcomes as specified in Clause 2: Event Registration & Ticketing and Clause 3: Event Participation: Rights and Obligations.
7. Complaints & Dispute Submission
Participants may submit complaints regarding any aspect of the Event or their participation in writing to the designated email addresses: stacy@aifoundersconnect.org, muklesur@westminstermail.com. The Organizer will review and respond to complaints promptly, aiming to achieve an informal resolution whenever possible. If an informal resolution cannot be reached, the Organizer will follow a structured process to address the complaint. The Organizer reserves the right to disregard complaints that are repetitive or deemed unfounded. The maximum liability for any claim arising from a complaint is limited to the price of the ticket paid by the Participant. All disputes will be handled according to Clause 12: Class Action Waiver & Arbitration Clause and Clause 13: Miscellaneous & Final Provisions.
8. Intellectual Property & Media Rights
All photography, videography, and recordings produced at any Event are the exclusive property of the Organizer. The Organizer retains worldwide, unrestricted rights to use, edit, publish, and distribute such Media for promotional, educational, and fundraising activities without any form of compensation, inspection, approval, or royalties to Participants. Participants who wish to opt out of Media use must submit a written request before the Event. While the Organizer will make reasonable efforts to accommodate such requests, exclusion from Media coverage cannot be guaranteed. Post-Event removal requests will only be considered in cases of serious legal or privacy concerns, and only if technically feasible, without obligation for the Organizer to remove Media that has already been distributed, reposted, or archived. The use of Media includes coverage of participant proprietary content and pitch decks. The limitation of liability for Media use is governed by Clause 6: Limitation of Liability & Disclaimers.
9. Introducer’s Fee & Legal Representation
Participants, including startups, investors, venture capitalists (VCs), and limited partners (LPs), who attend AI Founders Connect, Inc. (AIFC) events agree to pay a 5% introducer’s fee on any funds raised via introductions facilitated at these events. This fee is applicable to both startups raising funds from investors and VCs raising funds from LPs. The introducer’s fee will be payable to Westminster & Partners (Company No. 14813167), who is also responsible for the administration of documentation, review, and compliance related to these transactions. The fee is due upon the closing or the first tranche of the funding, whichever occurs first. Failure to pay the introducer’s fee may result in exclusion from future AIFC events.
This introducer’s fee covers connection facilitation services only and does not constitute investment solicitation, brokerage activities, or a guarantee of funding. Westminster & Partners operates independently and does not serve as an investment advisor.
All introducer-fee arrangements are subject to applicable anti-money-laundering (AML) and Know-Your-Customer (KYC) regulations, which Westminster & Partners will administer as necessary. 10. Data Protection, Privacy, And Information Sharing
The Organizer is committed to protecting the privacy and Personal Data of all Participants in compliance with applicable data protection laws, including but not limited to the EU/UK GDPR, CCPA, Australian Privacy Act, and Singapore PDPA. This section details our data protection practices, lawful bases for processing, data retention policies, and Participants’ rights.
a. Data Collection: The Personal Data collected includes name, email, company, title, country, and optionally, LinkedIn profile, investment focus, and fundraising amount. No sensitive or financial data is collected unless voluntarily provided by Participants for specific needs such as accessibility or dietary requirements.
b. Purpose of Data Processing: Personal Data will be processed on the basis of performance of contract, legitimate interest, or consent, as appropriate. This includes event administration, providing updates, and granting access to resources. The data is securely stored on GDPR-compliant platforms and accessed only by authorized and confidential personnel.
c. Data Sharing and Transfer: The Organizer does not sell Personal Data. Data may be shared with partners, sponsors, and investors only on an explicit opt-in basis. Post-event, shared data will be limited to professional identifiers and will never include personal contact information unless explicit consent is given by the Participant. Data may be transferred and processed internationally under legal safeguards.
d. Data Retention: We retain event participation data for no longer than three years following the event, after which it will be securely disposed of, unless required for legal or compliance purposes. For details on data retention and disposal, see <<Clause 13: Miscellaneous & Final Provisions>>.
e. Participants’ Rights: Participants have the right to withdraw consent, request access to their Personal Data, and request deletion of their data by contacting the Data Protection Officer at Muklesur@westminstermail.com. Participants can also lodge complaints with local Supervisory Authorities, including the ICO in the UK, CNIL in France, OAIC in Australia, and PDPC in Singapore.
f. Exclusions and Liability: The event is not open to individuals under 16 years of age. The Organizer is not liable for unauthorized access to Personal Data beyond the implemented protective measures.
11. Event Authorization & Third-Party Branding
The Organizer clarifies that the use of any venue, brands, or institutions for Events does not imply any formal sponsorship, partnership, or endorsement unless there is written confirmation of such an agreement. Events may be held at various venues including universities, incubators, or private locations; any utilization of third-party names, logos, or trademarks is strictly for identification purposes only and remains the exclusive property of their respective owners. The Organizer has no obligations or liabilities for any misinterpretation or misuse by attendees or media with regard to third-party relationships. Any collaborations or use of venues are limited to specific events and do not establish any ongoing rights or formal affiliations. The Organizer is not responsible for any misinterpretations regarding third-party relationships. Any reference to universities or corporate partners denotes venue use only and shall not create any agency, endorsement, or partnership.
12. Regulatory & Licensing Disclaimer
The Organizer, AI Founders Connect, Inc. (AIFC), is a U.S. 501(c)(3) registered nonprofit organization. It is important to note that AIFC is not licensed as a broker, dealer, financial advisor, or investment intermediary in any jurisdiction. As such, AIFC operates solely with the intent to provide educational and networking opportunities and does not engage in the solicitation of investments or the provision of regulated financial advice. Any introductions or facilitations conducted during the Events are done on a voluntary basis, and there is no obligation for Participants to engage in further deal negotiations, completions, or due diligence. All actions related to fundraising facilitation, including introducer’s fee management and legal representation, are exclusively carried out by our designated legal partner, Westminster & Partners, as outlined in Clause 9: Introducer’s Fee & Legal Representation. By participating in AIFC Events, Participants acknowledge that all activities are governed by English law and jurisdiction, as specified in Clause 1: Effective Date and Definitions and Clause 2: Introduction & Acceptance of Terms. Furthermore, any disputes arising from these activities will be resolved according to the dispute resolution procedures stipulated in Clause 13: Class Action Waiver & Arbitration Clause.
13. Class Action Waiver & Arbitration Clause
By participating in any Event organized by AIFC, all parties irrevocably waive their right to participate in any class, collective, or representative action. Disputes or claims, including those regarding breach, termination, enforcement, or interpretation of these Terms & Conditions, shall be resolved exclusively through binding arbitration. The arbitration will be conducted by the London Court of International Arbitration (LCIA), with its seat and venue in London, England. The language of the arbitration shall be English. The arbitrator’s decision will be final and binding on all parties involved. These arbitration proceedings, as well as the entirety of these Terms & Conditions, shall be governed by and construed in accordance with the laws of England and Wales. Prior to initiating arbitration, all complaints and disputes must first be submitted as outlined in Clause 7: Complaints & Dispute Submission. 14. Miscellaneous & Final Provisions
a. Amendments: The Organizer reserves the right to amend these Terms & Conditions at any time, with such amendments becoming effective upon posting or notice to Participants. Continued participation in any Event following the posting or notice of any amendment shall constitute acceptance of the amended terms.
b. Severability: If any provision of these Terms & Conditions is found to be invalid or unenforceable, that provision shall be modified minimally to reflect the intent of the provision, and the remainder of these Terms & Conditions shall continue in full force and effect.
c. Notices: Notices shall be delivered to Participants via the email addresses provided during registration or contact information on file. Such notices shall be deemed delivered and given on the date of the email delivery.
d. Minors: Events are not open to individuals under the age of 16. Participation by minors is strictly prohibited.
e. Data Retention: References to data retention and disposal are outlined in Clause 10: Data Protection, Privacy, and Information Sharing.
f. Precedence: These Terms & Conditions take precedence over any promotional or marketing materials. In case of any conflict, the provisions in these Terms shall prevail. See Clause 6: Limitation of Liability & Disclaimers for further reference.
g. Governing Law and Jurisdiction: These Terms & Conditions shall be governed by and interpreted in accordance with the laws of England and Wales. Any disputes arising from or relating to the Terms, which cannot be resolved amicably, shall be subject to the exclusive jurisdiction of the courts of England and Wales.
h. Acceptance: Participation in the Event is voluntary. Attendance or the purchase of a ticket constitutes acceptance of these Terms & Conditions.
15. Accessibility & Equality Statement
AI Founders Connect (AIFC) is committed to promoting accessibility and equal opportunity for all participants in our Events. We strive to create inclusive environments and experiences by adhering to the highest standards of accessibility in compliance with relevant laws and regulations. AIFC ensures that accessible services and accommodations are available at all Venues used for our Events, where feasible. We are dedicated to removing barriers and actively work to support Participants with disabilities or those requiring special assistance.
Participants who require reasonable accommodations should contact us at least two weeks prior to the Event date to ensure suitable arrangements can be made. Requests can be made via the contact information provided during the registration process. Assistance may include, but is not limited to, auxiliary aids for hearing or visual impairments, modified seating arrangements, and accessible transportation options.
Attendees requiring accommodations are encouraged to contact us in advance to ensure suitable arrangements. By fostering an accessible and welcoming environment, AIFC aspires to support the full participation of all attendees in our mission to advance the global AI ecosystem.
16. Sign-Off & Version Control
This section documents the formal version tracking and sign-off for the Terms & Conditions, ensuring document authenticity and providing a trail for updates. Any revisions and their effective dates will be recorded within this section, and all parties must acknowledge these changes as binding upon notification.
